Diluted Shares
Diluted shares are the share count as if in-the-money options, convertibles, and other claims were exercised — the honest denominator for EPS and value.
Definition
Treasury-stock method for options, if-converted for converts. Weighted-average diluted shares go into diluted EPS. Fully diluted market cap for EV should include the cash from exercise or the debt that converts.
Why it matters
Compensation and convert issuance hide in the gap between basic and diluted. A ‘cheap’ P/E on basic shares is a gift to the option pool.
Case
A pre-profit tech name with basic 100m shares and 20m options at $4 while the stock is $40. Basic EPS is fan fiction.
How to read it
Always use diluted for multiples and for per-share claims. Read the convert indenture for the actual share settlement.
